Terms of Service

These Terms of Service ("Terms") govern your use of the FlowEzy mobile application, web platform, and related services (collectively, the "Service") provided by FlowEzy ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

FlowEzy is a smart manufacturing operations platform that enables organizations to:

  • Manage production batches, stages, and operations
  • Execute and track quality control checkpoints
  • Assign, monitor, and approve tasks
  • Track inventory, lots, and raw material consumption
  • Maintain audit trails and compliance records
  • Receive notifications and manage escalations

3. User Accounts

3.1 Account Creation

Accounts are created by your organization's administrator. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3.2 Account Responsibilities

  • Provide accurate and complete information
  • Keep your password secure and do not share it with others
  • Notify your administrator immediately of any unauthorized access to your account
  • You are responsible for all actions taken through your account

3.3 Account Termination

Your organization's administrator may deactivate your account at any time. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to other accounts, workspaces, or systems
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Upload malicious content, viruses, or harmful code
  • Use the Service to collect personal information of other users without authorization
  • Share, resell, or redistribute access to the Service without our written consent

5. Data Ownership & Intellectual Property

5.1 Your Data

Your organization retains ownership of all data entered into the Service, including production records, quality data, inventory records, and photos ("Your Data"). We do not claim ownership of Your Data.

5.2 License to Use

By using the Service, you grant us a limited, non-exclusive license to host, store, process, and display Your Data solely to provide and improve the Service.

5.3 Our Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by FlowEzy and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written consent.

6. Workspace Isolation

Each organization operates within an isolated workspace. Data within a workspace is not accessible to users outside that workspace. You are responsible for managing user access within your workspace.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

  • Merchantability and fitness for a particular purpose
  • That the Service will be error-free or uninterrupted
  • That defects will be corrected in a timely manner
  • That the Service will meet your specific requirements or expectations

9. Limitation of Liability

To the maximum extent permitted by applicable law, FlowEzy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless FlowEzy, its officers, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Changes to the Service & Terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms periodically. We will notify users of material changes by updating the "Last updated" date and, where appropriate, providing notice through the Service. Your continued use after changes constitutes acceptance of the revised Terms.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
